According to a DOJ press release, a thorough eight-month investigation conducted by the Antitrust Division's career staff concluded that the merger would not adversely affect competition or American consumers. However, a report from The Wall Street Journal reveals that the very DOJ lawyers who spearheaded the investigation were inclined to recommend a lawsuit against the merger, citing potential anticompetitive effects.
The Wall Street Journal further notes that senior DOJ officials ended the investigation prematurely, before the career staff could voice their concerns about the merger. This action has led to allegations of political interference, particularly from Senator Elizabeth Warren (D-Mass.), who expressed her dismay, stating, "the American people need to know if this merger was approved as a political favor.
